Welcome to mailX and mailadept, platforms operated by mailwarm Inc., a Delaware corporation (“Company,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your use of our websites, content, tools, and services, whether offered for free or through paid subscriptions. By accessing or using our services, you agree to these Terms. If you do not agree, please discontinue use immediately.

1. Definitions

1. “User” means any individual or legal entity accessing or using mailX or mailadept.
2. “Account” refers to a registered user profile used to access our services.
3. “Service(s)” means the totality of content, tools, features, and deliverability solutions provided through mailX and mailadept.
4. “Platform(s)” refers collectively to www.themailx.com and www.mailadept.com.
5. “Paid Services” includes subscriptions or managed services offered for a fee, especially through mailadept.
6. “Managed Services” refers to email deliverability monitoring, setup, and expert support provided by mailadept.

2. Acceptance of Terms

By using any of our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms, which may be updated at any time. Continued use constitutes acceptance of any modifications.

3. Eligibility

You must be at least 18 years old to use our services. The Platforms are intended for use by professionals, businesses, and organizations, not private individuals.

4. License and Access

We grant you a limited, non-transferable, revocable license to access and use the Services in accordance with these Terms.

You agree not to:

1. Use the Platforms for unlawful, abusive, or fraudulent purposes;
2. Interfere with or disrupt the Services or servers;
3. Copy, reproduce, resell, or exploit any part of the Services without express written consent;
4. Misrepresent your affiliation or impersonate another entity;

5. Services Overview

mailX

Provides educational content, training, and open tools for email deliverability, including inbox testing, warm-up guides, community support, and self-serve solutions.

mailadept

Delivers high-level, subscription-based managed services including multiple email deliverability expert consulting.

Both platforms operate under a unified structure managed by mailwarm Inc.

6. User Responsibilities

You are responsible for:

1. Keeping account credentials secure;
2. Monitoring your usage of the Services;
3. Ensuring all emails you send comply with applicable laws (e.g. CAN-SPAM, GDPR);
4. Providing accurate information during account creation and billing.

You agree not to use our platforms for spam, phishing, or any activity that may harm recipient users or our infrastructure.

7. Data and Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and store your personal data. We collect information such as name, email, SMTP credentials, and device/browser data solely to operate the Service. We store data securely and in compliance with GDPR and other applicable laws.

8. Third-Party Services

Some features rely on third-party providers (e.g., AWS, Gmail, Outlook, Stripe). Your use of those integrations is also governed by their respective terms. We are not liable for outages or limitations stemming from third-party services.

9. Payment, Billing & Refunds

1. Free Access: mailX offers free content and tools that may be used without payment.
2. Paid Plans: Certain features or services on mailadept require a paid subscription. Pricing is provided depending on clients' need.
3. Auto-renewal: Paid subscriptions may automatically renew unless canceled before the renewal date.
4. Refunds: All payments are non-refundable unless otherwise stated.
5. Delinquency: Failure to pay may result in service suspension or account termination.

10. Cancellation & Termination

You may cancel your subscription anytime by contacting our support. Termination does not entitle you to a refund unless explicitly stated. We reserve the right to suspend or terminate accounts for violations of these Terms or non-payment.

11. Intellectual Property

All content, design elements, trademarks, logos, and tools on mailX and mailadept are the property of mailwarm Inc. You may not use them without prior written consent.

12. Beta Features

We may release Beta features for testing. These are provided “as is” and may be modified or removed without notice. We are not liable for any issues arising from their use.

13. Limitation of Liability

To the fullest extent permitted by law, mailwarm Inc. shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to: loss of data, loss of revenue, or business interruption ; even if advised of such damages.

14. Disclaimers

The Services are provided “as is” and “as available.” We make no warranties ; express or implied ; including but not limited to merchantability, or non-infringement.

We do not guarantee inbox placement. We provide tools and guidance, but ultimate deliverability depends on external factors (sender behavior, content, ESP policies, etc.).

15. Force Majeure

We are not liable for delays or failures resulting from events outside our control, such as natural disasters, internet outages, cyberattacks, or government actions.

16. Modifications to Service

We may modify or discontinue part or all of the Services at any time without notice. Your continued use of the Services after changes implies acceptance.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of Delaware, USA, without regard to its conflict of law principles. All disputes shall be resolved in the competent courts of Delaware.

18. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific terms, constitute the full agreement between you and mailwarm Inc. regarding use of our Services.
